These Terms of Service (the "Terms") govern your access to and use of the Apertis platform and related services operated by Stima AI, LLC. ("we", "us", or "our"). By using our services, you agree to be bound by these Terms. If you do not agree, please do not use the services.

1. Description of Services

Apertis is a unified AI model access platform compatible with OpenAI and Anthropic API formats, providing access to 500+ models from 30+ providers.

Applicable services include:

  • Apertis API Service
  • Apertis Coding Plans
  • Apertis Chat
  • Playground
  • LJDIR-TW (Legal Judgment Document Information Retrieval System)

Services are accessed through API key authentication. We reserve the right to modify the available models, features, and scope of services at any time, with or without prior notice.

Certain models or providers may be unavailable for an account, request, payment profile, region, or jurisdiction due to provider policy, export-control or sanctions compliance, legal requirements, or risk controls.

To enforce these requirements, we may use account information, payment and billing details, card country, invoice data, Stripe checkout or customer data, API request metadata, and trusted edge or proxy country headers to determine regional availability and apply account-level provider restrictions until reviewed or cleared.

2. Account Responsibilities

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for maintaining the security of your account credentials and API keys.
  • Any usage incurred through leaked or compromised API keys is the responsibility of the account holder.
  • Sharing, reselling, or transferring your account or API keys to third parties is prohibited.
  • You must be at least 18 years of age or have the consent of a legal guardian to use the services.
  • You must notify us promptly if you suspect unauthorized use of your account.

3. Acceptable Use & Prohibited Activities

You agree to use the services in compliance with all applicable laws and regulations. The following activities are strictly prohibited:

(1) Absolute Prohibitions

  • Generating child sexual abuse material (CSAM) or any content exploiting minors
  • Assistance with weapons of mass destruction (chemical, biological, radiological, nuclear)
  • Creating malware, ransomware, or cyberattack tools
  • Facilitating attacks on critical infrastructure (power, water, healthcare, telecommunications)
  • Promoting terrorism or acts of mass violence

(2) General Prohibitions

  • Generating illegal, harmful, hateful, discriminatory, or violent content
  • Unauthorized surveillance or data collection
  • Automated generation of spam, phishing, or fraudulent content
  • Impersonating other individuals or entities
  • Circumventing security measures or rate limits
  • Decompiling, reverse engineering, or disassembling the services

You are also required to comply with the acceptable use policies of all applicable upstream AI providers.

(3) High-Risk Use Requirements

When using AI models through the Service for high-risk applications — including but not limited to legal, medical, financial, or employment decisions — you must ensure appropriate human oversight and clearly disclose to end users that AI-generated content is involved. You may not use the Service to generate content intended to interfere with elections or democratic processes.

4. AI Output Disclaimer

Apertis operates as an intermediary platform that routes API requests to third-party AI providers.

  • Services are provided "AS IS" and "AS AVAILABLE". We make no warranties regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of model outputs.
  • AI outputs do not constitute professional advice of any kind, including legal, medical, financial, or other expert guidance.
  • Upstream providers may change model behavior at any time, and Apertis is not responsible for such changes.
  • You are responsible for evaluating whether outputs are appropriate for your use case, including implementing human review where necessary.
  • We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Data Handling

  • Apertis does not use your data to train any models.
  • API requests are routed to upstream providers, which process data according to their respective data policies.
  • When you use free-tier models (identified by the :free suffix in model names), the upstream provider may process your data according to their own terms, which may include using data for model improvement. Paid models are routed exclusively through API endpoints where providers contractually commit to not using customer data for training.
  • For maximum data protection, we recommend using paid models for sensitive content.
  • You are responsible for ensuring that data sent through the API complies with applicable privacy laws.

6. Payment & Billing

  • Apertis offers subscription plans (Lite, Pro, Max) and Pay-As-You-Go billing.
  • Subscriptions automatically renew at the end of each billing period unless cancelled.
  • Payments are processed through Stripe. By using the services, you also agree to Stripe's terms of service.
  • We reserve the right to adjust pricing with notice.

(1) Subscription Plan Changes (Upgrade & Downgrade)

When you change your subscription plan, the following rules apply:

Upgrades. When you upgrade your subscription to a higher-tier plan:

  • The upgrade takes effect immediately. You receive full access to the new plan and its complete monthly quota at the moment of upgrade.
  • The new plan is charged in full at the time of upgrade.
  • The previous plan is treated as concluded. Any unused time and any unused monthly quota from your previous plan are forfeited and are NOT refunded or carried over.
  • Your billing cycle is reset. Your next billing date is set to 30 days (or one full cycle) from the date of upgrade. All future renewals follow this new billing date.

Downgrades. When you downgrade your subscription to a lower-tier plan:

  • The downgrade is scheduled for the end of your current billing period. You retain full access to your current plan and its remaining quota until the period ends.
  • No immediate charge or refund occurs. At the next billing date, your account renews at the new lower-tier plan's price, and you receive the new plan's quota.

Annual Subscription Upgrades. When you upgrade from an annual subscription:

  • The remaining value of your annual subscription, calculated on a prorated basis (paid amount × remaining days / 365), is applied as a non-refundable account credit through Stripe's customer balance.
  • This credit is automatically applied to reduce future invoices on your account.
  • The credit cannot be withdrawn, transferred, or converted to cash.
  • The new plan is charged at full price; any portion not covered by credit will be charged to your payment method on file.

These plan-change rules apply automatically through Stripe and are non-negotiable on a per-customer basis. For refunds outside of these automated flows, see our Refund Policy.

7. Service Availability

  • We strive to maintain service availability but do not guarantee 100% uptime.
  • Scheduled maintenance will be communicated in advance.
  • Third-party provider outages are outside the control of Apertis.
  • We may restrict access to affected providers or model families for specific accounts while continuing to display those models in public model catalogs. Access to unrelated models continues unless separately restricted.
  • Compensation for service interruptions is governed by the provisions in our Refund Policy.

8. Intellectual Property

  • The Apertis platform's trademarks, design, and software are the property of Stima AI, LLC. and are protected by copyright and other intellectual property laws.
  • You retain all rights to the input content you submit to the services.
  • To the extent permitted by applicable law and upstream provider terms, we assign to you all rights in AI model outputs generated through your use of the Service. You acknowledge that AI-generated outputs may not be eligible for intellectual property protection in all jurisdictions.
  • You grant us a limited license to use your content solely to the extent necessary to process your API requests.

9. Indemnification

You agree to indemnify, defend, and hold harmless Stima AI, LLC., its affiliates, officers, directors, and employees from and against any and all claims, damages, losses, and expenses (including reasonable attorney fees) arising from your violation of these Terms or applicable laws, or your infringement of any third-party rights.

10. Limitation of Liability

  • To the fullest extent permitted by applicable law, the total cumulative liability of Stima AI, LLC. under these Terms shall not exceed the greater of the total amounts paid by you to Apertis during the six (6) months immediately preceding the event giving rise to the claim or one hundred U.S. dollars ($100).
  • In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, or loss of business opportunities.
  • Damages arising from third-party AI provider services are outside the scope of Apertis's liability.
  • Some jurisdictions do not allow limitations of liability, and in such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

11. Termination

  • You may cancel your account at any time from the account Settings page.
  • We reserve the right to suspend or terminate your account without notice for violations of these Terms.
  • Upon termination, unused credits will be handled in accordance with the terms of the Refund Policy.
  • Sections 4 (Disclaimer), 8 (Intellectual Property), 9 (Indemnification), 10 (Limitation of Liability), and 13 (Governing Law) shall survive termination.

12. Modifications to Terms

  • We may update these Terms from time to time. Material changes will be communicated at least 7 days in advance via website announcement or email notification.
  • Your continued use of the services after the effective date of changes constitutes acceptance of the updated Terms.
  • If you do not agree with the changes, you may terminate your account before the changes take effect.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States.

Any disputes arising from these Terms shall first be resolved through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to the courts of Sheridan County, Wyoming.

Nothing in these Terms shall affect your statutory rights under applicable local consumer protection laws that cannot be waived by contract.
